Tell us what your people need to be able to do, and we’ll rapidly develop a professionally designed learning module around that requirement — at our cost. You’ll see the finished learning before you decide whether to buy it. If you don’t want it, you pay nothing.

What do I need to do?

Give us a short brief. Tell us who the learning is for, what you need people to be able to do differently or correctly afterwards, and what would demonstrate that they’ve learnt it. You can also provide up to two source documents. You don’t need to design the course, develop learning objectives or specify the content and interactions — that’s our job.

What happens next?

We use AI-enabled development processes to draw on relevant, authoritative information, your source material and Synapsys’ own learning-design expertise and IP. From this, we rapidly create an applied, focused learning module built around what your people actually need to be able to do — rather than simply covering a list of topics. When it’s ready, we give you secure access to the finished module so you can experience exactly what your people would receive.

What are my options when I see it?

If it’s not right for you, simply say no — there’s nothing to pay. If you want it, own it for NZ$2,000 + GST, including the finished module, deployable package and editable source files, or have Synapsys keep it current for NZ$900 + GST per year for three years, with unlimited internal learners and applicable standard updates. Once you’ve committed to the module, we can also scope any organisation-specific customisation you need.

Lightning Modules — Terms and Conditions

These terms apply when you submit a brief to Synapsys for consideration under the Lightning Modules Rapid Module Service. By submitting your brief and accepting these terms, you agree to the following.

1. Submission of a brief

You may submit a brief to Synapsys without charge. Submission of a brief does not create an obligation on you to purchase a module and does not create an obligation on Synapsys to develop one. Synapsys reserves the right, at its sole discretion, to accept or decline any brief.

2. Scope and fair use

If Synapsys considers that your brief is too broad, complex or extensive for a single Lightning Module, we may propose dividing it into two or more modules or narrowing its scope. We will discuss this with you before proceeding.

Synapsys may decline briefs that we consider unsuitable for the service, including briefs requiring disproportionate research, analysis, content development or technical work.

The service must not be used primarily to obtain free consultancy, research, instructional design, content development or other professional services without a genuine intention to consider purchasing or licensing the resulting learning module.

3. Information and materials you provide

You are responsible for ensuring that information and source materials you provide to Synapsys are accurate, appropriate and lawfully supplied.

By providing materials to us, you confirm that you have the necessary rights and permissions for Synapsys to use those materials for the purpose of assessing your brief and developing the proposed module.

You should only provide confidential, personal, commercially sensitive or restricted information where it is reasonably necessary for the brief and you are authorised to provide it to Synapsys.

4. Security and use of customer information

Synapsys recognises that documents and information supplied as part of a Lightning Modules brief may contain confidential or commercially sensitive material.

Synapsys will take reasonable measures to protect information supplied by you and to reduce the risk of that information being disclosed publicly or used outside the purposes of developing and delivering the Lightning Module.

As part of the Lightning Modules development process, Synapsys may use third-party artificial intelligence and technology services. Where reasonably practicable, Synapsys will use business or commercial services that provide protections for customer data, including services under which information submitted through the service is not used by the service provider to train its general-purpose artificial intelligence models by default.

The use of these services does not amount to a guarantee that information can never be accessed, retained, disclosed or compromised. No online, cloud-based or artificial intelligence service can be represented as completely free from security or confidentiality risk.

You should therefore only provide information that is reasonably necessary for development of the module and that you are authorised to provide to Synapsys.

Synapsys will not intentionally publish, publicly disclose or make your confidential or proprietary source materials available to third parties except where necessary to provide the service, where authorised by you, or where disclosure is required by law.

Nothing in this clause limits any other responsibility you have under these Terms and Conditions for determining whether information is appropriate to provide to Synapsys.

5. Development of the module

Synapsys will use the brief and source materials you provide, together with relevant external information, AI-enabled development processes and Synapsys learning-design expertise, methodologies and intellectual property, to develop the module.

Synapsys determines the learning design, content, structure, assessment approach and level of detail appropriate for a Lightning Module.

Submission of a brief does not entitle you to participate in the development process, approve interim content or request revisions before deciding whether to purchase or license the completed module.

6. Review of the finished module

If Synapsys develops a module in response to your brief, we will make the finished module available for you to review.

You are responsible for deciding whether the module is suitable for your organisation, learners, intended purpose and operating environment.

If you decide not to proceed, you will not be charged. Your access to the review module will end and you acquire no rights to use, reproduce, modify, distribute or otherwise exploit the module or its contents.

7. Review period and expiry

Unless otherwise agreed in writing, you will have seven days from the date review access is provided to decide whether to purchase or license the completed module.

At the end of that period, Synapsys may withdraw access to the module and the offer to purchase or license it on the terms originally provided.

Any subsequent request to purchase, license or further develop the module will be subject to Synapsys confirming its availability, pricing and applicable terms at that time.

8. Accuracy and reliance

Synapsys takes reasonable care in developing Lightning Modules but does not warrant that a module is complete, error-free or suitable for every circumstance in which it may be used.

Lightning Module content is provided for education and training purposes. Unless expressly agreed otherwise in writing, it does not constitute legal, financial, regulatory, health and safety, professional or other specialist advice and should not be relied upon as a substitute for such advice.

You remain responsible for reviewing the module and determining the accuracy, currency and suitability of its content before deploying it within your organisation.

You are also responsible for ensuring that decisions, actions, policies or procedures adopted by your organisation are based on appropriate professional judgement and, where necessary, specialist advice rather than solely on information contained in a Lightning Module.

9. Legislative and regulatory content

Where a module refers to legislation, regulation, standards, codes or other external requirements, the content is intended to support learning and understanding and is not an authoritative statement of the law or regulatory requirements.

Unless otherwise expressly stated, Lightning Modules are developed with reference to the New Zealand context and information reasonably available at the time of development.

Legislation, regulations, regulatory guidance and accepted practice can change. You are responsible for determining whether the content remains appropriate for your organisation and circumstances.

Where you purchase a service under which Synapsys agrees to keep a module current, the scope and frequency of updates will be governed by the terms of that service.

10. Artificial intelligence

Synapsys may use artificial intelligence and AI-enabled tools as part of its research, analysis, design and production processes.

These tools form part of Synapsys' development methodology and do not replace the customer's responsibility to determine the suitability of the finished module for its intended use.

You acknowledge that AI-assisted processes can produce incomplete or inaccurate information and that the finished module should be assessed in that context.

11. Customer-supplied materials and indemnity

You are responsible for ensuring that you are entitled to provide Synapsys with any documents, information, images, data or other materials submitted as part of your brief.

You must not provide material that infringes another person's intellectual property or other rights, breaches confidentiality obligations, is defamatory or unlawful, or that you are otherwise not authorised to provide or permit Synapsys to use.

You indemnify Synapsys against third-party claims, losses and reasonable costs incurred by Synapsys to the extent that they arise directly from Synapsys' authorised use of material supplied by you where you did not have the necessary right or authority to provide that material or permit its use.

This indemnity does not apply to claims arising from changes or additions made independently by Synapsys that were not contained in or reasonably derived from the material you supplied.

12. Intellectual property before purchase

Unless otherwise agreed in writing, all intellectual property in any module developed by Synapsys remains the property of Synapsys until the applicable purchase or licence has been completed.

Review access is provided solely to enable you to evaluate whether you wish to purchase or license the module.

You must not copy, reproduce, record, distribute, adapt, reverse engineer or use any part of a review module for another purpose without Synapsys' written permission.

13. Reuse and independent development

Submitting a brief does not give you exclusive rights over the subject matter, learning requirement, concept or topic described in your brief.

Synapsys may independently develop, use, license or sell learning content dealing with the same or similar subject matter for other customers.

Synapsys will not disclose or reuse your confidential information, proprietary materials or organisation-specific content for another customer without your permission.

Synapsys retains the right to use its own pre-existing and independently developed intellectual property, methodologies, learning-design approaches, know-how, templates, tools and general knowledge gained through its work.

14. Purchase and internal use

Where you purchase a Lightning Module outright, the purchase includes the finished module, deployable package and applicable editable source files, together with a perpetual right to use that module for your organisation's own internal learning and development purposes.

There is no limit on the number of internal learners who may undertake the module.

You may deploy the module through your organisation's learning management system, intranet or other internal learning environment and may make it available to your employees and other people working directly within or for your organisation, such as contractors, secondees or other members of your extended workforce, where they are receiving the module as part of your organisation's internal training.

The purchase of a Lightning Module does not give you a right to commercially exploit or externally distribute the module.

Unless expressly agreed with Synapsys in writing, you may not:

  • sell, sublicense, hire, commercially distribute or otherwise make the module available to another organisation;
  • provide the module as a training product or service to your customers, clients or other third parties;
  • charge any person or organisation for access to the module;
  • use the module, or any substantial part of it, to generate revenue from the provision of learning or training services; or
  • publish or make the module generally available outside your organisation.

15. Synapsys underlying intellectual property

The purchase of a Lightning Module, including delivery of editable source files, does not transfer ownership of Synapsys' underlying or pre-existing intellectual property.

Synapsys retains ownership of its methodologies, learning-design approaches, production processes, templates, tools, techniques, know-how, reusable components and other intellectual property developed independently of your organisation or used generally in the delivery of Synapsys services.

You may use elements of Synapsys intellectual property incorporated within the purchased module to the extent necessary to use, maintain and modify that module for your organisation's permitted internal purposes.

The provision of editable source files does not grant you a right to extract, reproduce, commercialise or use Synapsys' underlying intellectual property to create products or services for third parties.

16. Licensing and keeping the module current

Where you choose to have Synapsys keep the module current rather than purchasing it outright, the module will be provided under the applicable Synapsys licence.

The licence permits unlimited internal learners within your organisation during the licence period and provides access to applicable standard updates released by Synapsys under the Lightning Modules update regime.

The licence does not transfer ownership of the module or its source files to you.

The specific duration, pricing, update arrangements and other applicable licence conditions will be confirmed when you elect to license the module.

17. Customisation

Customisation is not part of the speculative Lightning Module development process.

You cannot require Synapsys to revise or customise a completed module as a condition of deciding whether to purchase or license it.

Once you have committed to purchase or license the module, Synapsys can separately scope and quote any requested customisation, including organisation-specific policies, procedures, scenarios, assessments, terminology, imagery, branding or other requirements.

18. Liability

To the maximum extent permitted by New Zealand law, Synapsys excludes all warranties, representations and guarantees that are not expressly stated in these terms or otherwise agreed in writing.

To the maximum extent permitted by law, Synapsys will not be liable for any indirect, consequential, incidental or special loss arising from or connected with a Lightning Module or its use, including loss of profit, revenue, business opportunity, anticipated savings, data or reputation.

Synapsys will not be liable for decisions, actions, omissions or downstream consequences arising from reliance on module content where the customer has not independently determined that the content is appropriate for the particular decision, situation or purpose.

To the maximum extent permitted by law, Synapsys' aggregate liability arising from or relating to a Lightning Module will not exceed the amount actually paid to Synapsys for that module during the 12 months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

19. Business use and Consumer Guarantees Act

Lightning Modules is a business-to-business service intended for organisations acquiring learning content for business purposes.

Where the service is acquired in trade, the parties agree that the Consumer Guarantees Act 1993 does not apply to the maximum extent permitted by New Zealand law.

20. No commitment until purchase or licence

Submitting a brief, reviewing a module or discussing possible changes does not constitute an agreement to purchase or license the module.

Similarly, Synapsys' decision to develop a module does not commit Synapsys to undertake additional development, revisions, customisation or related services unless separately agreed.

21. Governing law

These terms are governed by the laws of New Zealand. You and Synapsys submit to the non-exclusive jurisdiction of the New Zealand courts.

22. Changes to these terms

Synapsys may amend the Lightning Modules service and these terms from time to time. The terms applying to a particular brief will be those presented to you when that brief is submitted.
